The registrar of companies is empowered to investigate the affairs of a company by self or by an inspector in certain circumstances. The registrar is empowered to investigate the affairs of a company where:
-He has reasonable cause to believe that the provisions of the companies act are not being complied with.
- A document submitted to him does not disclose a full and fair statement of the matters it relates to.
- He has good reason to investigate the ownership of any shares in or debentures of a company by demanding information from persons whom he has reasonable cause to believe are or have been interested in the shares or debentures or has acted as an advocate or agent in relation to the shares or debentures. - There is good reason to investigate the membership of any company for the purpose of determining the true persons who:Are or have been financially interested in the success or failure of the company or
- Control the company or materially influence the policy of the company.
